Dana Incorporated has entered into a definitive agreement with Eaton Corporation to combine with Eaton’s Mobility business, a transaction the companies say will create a larger global supplier focused on commercial and light vehicle powertrain systems. The transaction would combine Dana’s global powertrain, thermal, and sealing technologies with Eaton Mobility’s commercial vehicle transmissions, engine and emissions products, and advanced electrification capabilities. The combined company is expected to serve commercial vehicle, light vehicle, and aftermarket customers with a broader portfolio that spans traditional powertrain systems and electrified power delivery solutions. Fleets and OEMs are navigating a period in which diesel efficiency, hybrid systems, electrification, emissions reduction, and total cost of ownership are all shaping vehicle development and procurement decisions. Dana said the proposed combination would expand its ability to support customers across both conventional and clean-energy technologies. Under the terms of the agreement, the transaction will be structured as a Reverse Morris Trust. Eaton will first separate its Mobility Group to Eaton shareholders. Immediately after that separation, Dana will merge with a subsidiary of the Mobility Group, with Dana surviving as a wholly owned subsidiary of the Mobility Group. According to Dana, the expanded portfolio would strengthen OEM relationships across commercial and light vehicle markets, while also deepening aftermarket capabilities. For commercial vehicle customers, the combined business would bring together Eaton Mobility’s transmission, engine, emissions, and electrification products with Dana’s driveline, propulsion, thermal, sealing, and electrodynamic technologies. Dana Chairman R. Bruce McDonald is expected to serve as executive chairman of the combined company, with responsibility for integration and synergy realization.
